Tjänsteleverantör och villkor.

1. Introductory provisions

1. These terms and conditions (the “Terms”) govern the rights and obligations between FrostFire s.r.o. as the provider of the Sortyra service (the “Provider”) and the customer.
2. The service is intended exclusively for businesses. By registering, the customer confirms that they use the service in the course of their business; consumer protection rules do not apply to the contractual relationship.
3. All prices and fees are stated in euros. The Provider is not registered for VAT, so no VAT is added and prices are final. If the Provider becomes VAT-registered, it will notify customers at least 30 days in advance.

2. Subject of the service

1. The Provider makes available a web application for processing product feeds: combining supplier sources, rules and manual edits, categorisation, translations, prices and outputs for sales channels and marketplaces, including via API and the MCP server.
2. The scope of the subscription is determined by the number of products, the number of feeds (input and output) and the number of updates per day according to the price list in Article 4.

3. Registration and trial

1. The trial lasts 7 days from registration and requires no payment card.
2. During the trial the service can be set up and tried out, but outputs (feeds) are preview only: an output preview of 10 products is shown, the feed has no public address and cannot be downloaded, copied, exported, shared or sent to channels and marketplaces. The API and MCP return at most 10 products.
3. If the customer does not pay for a subscription after the trial, scheduled processing stops. Data in the account is not deleted.

4. Subscription price list

Monthly price = (base + products surcharge + feeds surcharge) × updates coefficient. Prices exclude VAT.

The exact price of the chosen scope is shown by the calculator on the website and the configurator in the app (Settings → Subscription); the price calculated under this price list at the time of order is always charged.

5. Add-on services and additional fees

1. “AI from us” add-on: €15 per month on top of the subscription, for a customer without their own AI key. AI features (categorisation, translations, AI content, Copilot, AI agent via MCP) run on AI provided by the Provider. AI processes feed changes at most 4× a day and at most 3 million tokens a month; once used up, AI features pause until the end of the calendar month. The add-on is paid together with the subscription (with the same discount for yearly payment) and can be cancelled at the end of the paid period.
2. One-off categorisation fee: €5 for each 1,000 products or part thereof that the service assigned to the shop or channel category tree (automatic categorisation, AI, web verification), subject to a minimum of €10. Products assigned manually by the customer are not counted. The fee is charged once, on the first subscription invoice, and its amount is shown before payment.
3. With a yearly subscription the categorisation fee is not charged. With a monthly subscription it is refunded after 3 paid invoices as credit applied to future payments; it is not paid out in cash and lapses if the subscription ends earlier.
4. Own AI key: if the customer connects their own AI provider key, they pay AI costs directly to that provider and the Provider charges nothing for AI.
5. The Provider charges no fees other than those stated in these Terms.

6. Payment terms and invoicing

1. Subscriptions and add-ons are paid in advance for the chosen period (month or year) by Visa or Mastercard via the Stripe payment gateway. The Provider neither processes nor stores payment card data.
2. When the scope changes during a paid period, the difference is charged or credited pro rata (proration).
3. The Provider issues an invoice after each payment and sends it to the email address given in the customer’s billing details. The Provider is not registered for VAT; customers from another EU member state with a valid VAT ID receive an invoice without VAT under the reverse charge mechanism.
4. If a payment fails, the service continues during the payment gateway’s retry attempts; if the payment cannot be collected, the subscription ends under Article 7.

7. Ending the subscription

1. The customer may cancel the subscription at any time in the app (Settings → Subscription → Invoices and payment card) with effect at the end of the paid period. Payments for the unused part of the period are not refunded.
2. When the subscription ends, outputs become unavailable immediately: feed addresses and shared links are suspended and scheduled processing stops. Data in the account is not deleted; the service resumes once payment is made again.
3. The customer may request permanent deletion of the account and data at any time (Settings → Data and privacy).
4. The one-off categorisation fee is non-refundable, except for the credit under clause 5.3.

8. Partners and agencies

1. A partner who refers a customer receives a commission on the subscription fees paid, depending on the number of their paying customers: 5% from the 1st paying customer, 10% from the 3rd paying customer, 15% from the 10th paying customer. An agency managing its clients’ shops receives a fixed commission of 8% of the subscription fees paid for those shops.
2. No commission is calculated on the one-off categorisation fee or on VAT. A commission is approved after the end of the service month and a 14-day hold; it is paid out on the 18th of the month. Details are set out in the partner programme terms.

9. Data and AI

1. The customer is responsible for being entitled to process the supplier and product data they upload to the service.
2. The Provider does not sell, publish or use customer data for any purpose other than providing the service; data is stored on servers in the EU. Only the data needed for the chosen task is passed to an AI provider.

10. Liability and availability

11. Changes to the Terms and price list

1. The Provider may change these Terms and the price list. It will notify the customer by email at least 30 days in advance; a price change applies from the next subscription period. If the customer disagrees with the change, they may cancel the subscription under Article 7.
2. The price valid at the time of order applies to an already paid period.
